Governance Affairs Manager

<p fr-original-style="" style="font-size: 14px;">Support in ensuring the Board of Directors compliance with applicable regulations, internal policies, and best governance practices.</p><p fr-original-style="" style="font-size: 14px;"><br></p><p fr-original-style="" style="font-size: 14px;">Key Tasks &amp; Duties:&nbsp;</p><p fr-original-style="" style="font-size: 14px;"><br></p><ul id="isPasted" fr-original-style="" style="font-size: 14px;"><li>Support in ensuring the Board of Directors adherence to board governance laws, regulations, and policies.</li><li>Provide advice on best practices in board governance and implement continuous improvements to ensure efficiency, effectiveness, and high-quality management through development of standard operating procedures and policies.</li><li>Ensuring all requirements of shareholders and any regulatory bodies are fully met including any filing requirements. This includes without limitation to preparing for annual general meeting, ordinary general meetings and extraordinary general meetings, organizing such meetings and managing submission of agenda, minutes, and resolutions, and filing them with the relevant authorities.</li><li>Support when required in drafting minutes of meeting and resolutions of the Board and Board committees accurately, concisely, and free of errors in English (and Arabic where applicable).</li><li>Facilitate any performance reviews of the Board / Committees.</li><li>Maintain and update disclosures pertaining to board members.</li><li>Ensure that the Bank’s public platforms and profiles are up to date in relation to shareholders and board information.</li><li>Support the Company Secretary in providing data and reports to regulators and auditors.</li><li>Review and draft market disclosures.</li></ul><p fr-original-style="" style="font-size: 14px;"><br></p><p fr-original-style="" style="font-size: 14px;"><br></p><p fr-original-style="" style="font-size: 14px;"><br></p><p fr-original-style="" style="font-size: 14px;"><br></p>
