ROLE OBJECTIVE Consultant Strategic Partnerships & M&A leads the origination, evaluation and execution of ecosystem partnerships (hyperscalers, OEMs, telcos, ISVs) and inorganic growth opportunities (investments, JVs, acquisitions, carve-outs) that accelerate Onetech’s strategy across data centre, cloud, cybersecurity and system integration services. The role owns the end-to-end deal cycle market scanning, business case and valuation, due diligence orchestration, negotiation and closing — and sets up post-deal integration and partnership governance to realise synergies, protect value and ensure regulatory compliance in Oman. RESPONSIBILITIES Strategy & Deal Origination • Translate corporate strategy into a pipeline of partnership/M&A theses and target lists; maintain market maps for priority domains (cloud, managed services, cybersecurity, platforms, niche SIs). • Conduct opportunity analysis and screening of acquisition or investment targets aligned with OneTech’s strategic priorities. • Build investment cases: problem statement, strategic fit, synergy logic, options analysis (build/partner/buy), risks and mitigations. • Run initial outreach, screening and NDAs; manage confidentiality and information flows. Partnerships (Alliances, JVs) • Identify, evaluate, and develop partnerships with technology vendors, hyperscalers, service providers, and ecosystem enablers. • Structure and negotiate partnership models (resell/CSP, MSP, OEM, co-sell, white-label, JV, distribution, BOT/revenue-share) with clear roles, quotas and support obligations. • Define partner tiering, enablement and joint GTM plans with Sales/Marketing; establish QBRs, scorecards and escalation paths. • Ensure compliance with data-protection, security, sanctions and competition requirements in partner agreements. • Monitor strategic partner performance and alignment with business goals. Commercial Finance & Deal Modelling • Build financial models for partnerships and M&A (P&L, CF, BS impact; NPV/IRR; scenario/sensitivity; synergy and integration costs). • Set pricing/discount corridors and approval matrices for partnership constructs in coordination with Finance. M&A Execution • Lead end-to-end M&A processes: teasers/IM review, valuations, indicative offers (EOI/NBO), data-room Q&A, management meetings. • Coordinate due diligence (commercial, financial, tax, legal, HR, tech/cyber, operations); consolidate findings and value-bridge, and define SPA/business-warranty protections. • Support the development of deal structures, term sheets, and definitive agreements in coordination with legal and financial advisors. • Drive negotiations (SPA, SHA/JVAs, TSAs), board/IC materials, and closing deliverables. Post-Deal Integration & Value Realisation • Develop Day-0/Day-1 and 100-day plans, integration workstreams, TSA governance and synergy tracking (revenue, cost, capex/working capital). • Establish post-deal KPIs and risk logs; run integration reviews and corrective actions. Governance, Risk & Compliance • Maintain stage-gate governance, IC memos and deal documentation; ensure Delegations of Authority (DOA) compliance. • Manage regulatory touchpoints (competition/anti-trust; PDPL data obligations in transactions; tax/VAT structuring with Finance; sector approvals as applicable). Stakeholder Management & Communications • Align internal stakeholders (Finance, Legal, Technology, Operations, Sales) and external advisors; manage board/EXCO expectations with clear narratives. • Prepare board-level presentations, strategic recommendations, and investment memos. Market Intelligence & Insights • Track competitor moves, funding rounds, M&A activity, and partnership models, technology trends and valuation benchmarks in the GCC; maintain a knowledge base of precedent deals and partnership structures. ROLE SPECIFICATIONS Qualification • Bachelor’s degree in Business, Finance, Economics, or Engineering. • Postgraduate degree (e.g., MBA or equivalent) is strongly preferred. Certification • CFA / ACA / ACCA (preferred). • Relevant certifications in corporate finance, valuation, or M&A (e.g., FMVA, CIMA) are a plus. Experience • Minimum 7–10 years of experience in M&A, strategic partnerships, corporate development, or investment advisory — ideally within ICT, technology, or telecom sectors. Skills • Strategic and financial analysis. • Business case development & valuation modelling. • M&A due diligence and integration. • Contract review and deal structuring. • Market intelligence and partner management. • Strong Excel, PowerPoint, and data visualization tools.
