Reporting to: Director - Legal Governance & Risk Role Objective: To support the Director – Legal, Governance & Risk in leading and managing the legal function of MDO and to provide high-quality, commercially focused and strategic legal advice to MDO, its subsidiaries and project companies. The Legal Senior Advisor will independently lead and manage complex legal matters and transactions, provide legal guidance to management and business functions, manage external legal advisers, and ensure that MDO's activities and investments are appropriately structured and protected from a legal and regulatory perspective. The role will act as a senior point of contact within the Legal Department and will support the Director – Legal, Governance & Risk in the effective management, prioritisation and delivery of the department's legal activities. Duties and Responsibilities: 1. Provide strategic, practical and commercially focused legal advice to MDO, its subsidiaries and project companies on corporate, commercial, contractual and regulatory matters. 2. Lead and independently manage legal workstreams relating to MDO's investments, acquisitions, divestments, joint ventures, projects and other strategic transactions. 3. Draft, review and negotiate complex transaction and commercial documentation, including shareholders' agreements, share purchase agreements, investment agreements, project agreements and other material contracts. 4. Lead and support negotiations with investors, joint venture partners, contractors, lenders, government entities and other counterparties. 5. Advise on legal and contractual risks and recommend appropriate risk mitigation measures, including in relation to disputes, claims and potential litigation or arbitration. 6. Provide legal support on corporate and governance matters relating to MDO and its subsidiaries and project companies. 7. Monitor relevant legal and regulatory developments and advise MDO on their impact on its business and activities. 8. Manage and coordinate external legal counsel, including scope, deliverables, quality, timelines and legal expenditure. 9. Supervise, guide and develop junior members of the team. 10. Support the Director – Legal, Governance & Risk in managing the Legal function, departmental priorities, legal risk and continuous improvement initiatives, and act on the Director's behalf when delegated. 11. Perform any other legal or managerial responsibilities reasonably assigned by the Director – Legal, Governance & Risk. Education: – Bachelor’s degree in Law. – Master’s degree in Law is desired – Professional legal qualification / admission to practise is desirable. Experience: – Minimum 7 years of relevant legal experience, preferably combining experience in a reputable law firm and/or a sophisticated in-house legal environment. – Demonstrable experience independently managing complex corporate and commercial legal matters. – Strong experience in drafting and negotiating commercial and transaction documentation. – Experience in M&A, joint ventures, investments, projects, financing, mining, infrastructure or other relevant sectors is highly desirable. Business Understanding: The position requires a high level of commercial and business understanding and the ability to understand MDO's investment objectives, operational activities and strategic priorities and translate legal requirements into practical business solutions.
